Dealer Terms & Conditions

Effective Date: October 4, 2026 | Last Updated: October 4, 2026

These Dealer Terms and Conditions (the "Dealer Terms") constitute a legally binding agreement between you, as a registered dealer ("Dealer", "you", or "your"), and Vehicle Social Inc. ("Vehicle Social", "we", "us", or "our") governing your use of the Vehicle Social dealer platform located at www.vehiclesocial.com.

BY REGISTERING AS A DEALER AND USING THE DEALER PLATFORM, YOU CONFIRM THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE LEGALLY BOUND BY THESE DEALER TERMS IN ADDITION TO OUR GENERAL TERMS OF USE AND PRIVACY POLICY.

1. Dealer Eligibility

To register and use the Vehicle Social dealer platform, you must meet the following requirements:

  • Be a licensed motor vehicle dealer in your operating province or territory
  • Maintain a valid business registration and dealer license throughout your subscription
  • Provide accurate business information including dealership name, address, and contact details
  • Be authorized to represent the dealership and enter into binding agreements on its behalf

2. Dealer Account & Subscription

Dealer accounts are subject to subscription plans (FREE, STARTER, PROFESSIONAL, ENTERPRISE) with varying listing limits and features.

Subscription fees are charged in Canadian dollars (CAD) and are due at the start of each billing period. Subscriptions automatically renew unless cancelled.

  • Current plan prices, listing limits and features are published on the pricing page in your dealer account and on the dealer portal; they may change from time to time.
  • The price, tax treatment and limits shown when you subscribe apply to that subscription. A price change never affects a billing period you have already paid for.
  • Each plan states whether its price includes GST/HST or whether GST/HST is added at checkout.

3. Listing Requirements

All vehicle listings submitted by dealers must comply with the following requirements:

  • Listings must be for vehicles that you have legal authority to sell
  • Vehicle information must be accurate, complete, and not misleading
  • Photos must represent the actual vehicle being listed
  • Prices must be clearly stated in Canadian dollars and must be all-in: the advertised price includes every fee and charge (freight/PDI, administration, certification, etc.) except HST/GST/PST and licensing, as Ontario Regulation 333/08 under the Motor Vehicle Dealers Act (OMVIC) and equivalent rules in other provinces require
  • Statements about a vehicle's history or condition (for example "no accidents" or "clean history report") are your representations: make them only if you can substantiate them, and disclose material facts such as prior damage, branding or use as required by your provincial dealer regulator
  • Any known defects or damage must be disclosed in the listing description
  • VIN (Vehicle Identification Number) must be valid and match the vehicle

3a. Inventory Feeds

If your inventory reaches Vehicle Social through a DMS, website or inventory provider (an "inventory feed"), you authorize that provider to send us your vehicles, photos and prices, and you authorize us to publish them as your listings and to copy the photos onto our own storage. You remain responsible for the accuracy of feed listings exactly as for listings you enter yourself. Tell us at dealers@vehiclesocial.com if the authorization ends; we will stop importing from that provider.

4. Prohibited Conduct

Dealers are prohibited from engaging in the following activities on the Vehicle Social platform:

  • Posting listings for vehicles you do not own or have authority to sell
  • Misrepresenting vehicle condition, history, or specifications
  • Engaging in fraudulent, deceptive, or misleading practices
  • Violating applicable consumer protection or advertising laws
  • Using the platform to collect personal information for unauthorized purposes
  • Circumventing Vehicle Social's fee structure or subscription limits

5. Compliance with Laws

Dealers are responsible for ensuring that all listings and business activities comply with applicable federal, provincial, and local laws, including but not limited to:

  • Motor vehicle dealer licensing regulations
  • Consumer protection legislation
  • Advertising standards and truth-in-advertising laws
  • Anti-spam legislation (CASL)
  • Privacy laws including PIPEDA

5a. Customer Information You Enter

When you record your own customers' information in Vehicle Social (for example, contact details in an appraisal), you decide why that information is collected and how it is used, and you are responsible for having the consent or other lawful basis required by privacy law. We process it on your behalf only to provide the platform, protect it with the safeguards described in our Privacy Policy, do not use it for our own purposes, and automatically remove customer contact details from appraisals two years after they are created. When your account ends, we delete it or return it to you on request, subject to legal retention obligations.

Leads and inquiries buyers send you through Vehicle Social may be used only to respond to that buyer's request. Do not add them to marketing lists without the buyer's express consent (Canada's Anti-Spam Legislation).

6. Payment & Billing

All subscription fees are processed securely through our payment provider (Stripe). By providing payment information, you authorize Vehicle Social to charge the applicable fees on a recurring basis: your payment method is saved with Stripe at first purchase and is charged automatically at the start of each billing period (monthly or yearly, as selected) until the subscription is cancelled.

Vehicle Social reserves the right to modify subscription pricing with 30 days written notice. Continued use of the platform after the price change constitutes acceptance of the new pricing.

6a. Automatic Renewal & Cancellation

Subscriptions renew automatically at the end of each billing period. Free-trial subscriptions convert to the regular plan price when the trial ends unless cancelled before the conversion date; a reminder is sent before the first charge.

To cancel a subscription, submit a cancellation request from your Billing page (or contact us at info@vehiclesocial.com). We process cancellation requests promptly. Free trials may also be cancelled directly from the Billing page.

Cancellation takes effect at the end of the current paid billing period: no further charges are made, your plan features remain available until the period end date, and the service then stops. Fees already paid for the current period are non-refundable except where required by law.

Custom (personalised) subscription offers issued by our team are managed by Vehicle Social — contact support to change or cancel a custom plan.

7. Termination

Vehicle Social may suspend or terminate your dealer account at any time if you:

  • Violate these Dealer Terms or the general Terms of Use
  • Fail to maintain a valid dealer license
  • Engage in fraudulent or deceptive conduct
  • Fail to pay applicable subscription fees

8. Limitation of Liability

Vehicle Social provides the platform as a listing service only. We do not participate in or facilitate transactions between dealers and buyers. Vehicle Social is not responsible for:

  • The accuracy of dealer-submitted listing information
  • Transactions or disputes between dealers and buyers
  • Loss of business or profits resulting from platform downtime
  • Actions or representations made by dealers to buyers
